P. Randall Hayes

Randy Hayes has more than 12 years of diversified development and finance experience in the electric power industry and 10 years of engineering and project management experience in the natural gas industry.

In 1998, ABB's Power Transmission and Distribution Group recruited Mr. Hayes to lead market development and account management efforts addressing the power generation market. Progressing to Vice President Account Management, he drove sales growth in excess of 300% during his tenure. His responsibilities encompassed the non-utility generation and transmission markets including IPPs, power-trading floors, wind developers and distributed generation initiatives. He engaged senior executives, developers, consultants and financial executives in assessing technological, financial and commercial solutions on the target endeavors. His work with wind developers focused on assessing alternative transmission prospects in ERCOT. He was actively sought within ABB to direct the commercial structuring of ABB’s energy service company endeavor. Most recently he has been involved with major upstream E&P firms evaluating the viability of offshore transmission systems.

Prior to joining ABB, Mr. Hayes served in various financial and development capacities at Destec Energy, including responsibility for corporate financial planning. Following the acquisition of Destec Energy by NGC Corporation (later renamed Dynegy), he served on the financial reporting integration team. His treasury operations experience spanned the management of $400 million in corporate cash investments including the authoring of the corporate investment guidelines, foreign exchange and interest rate transactions and hedging strategies, and cash management. During his tenure with Destec Energy, he spent several years in project development and analysis that included structuring and negotiating gas and steam contracts.

Mr. Hayes began his career as an engineer in natural gas pipelines with Tenneco Gas in Houston, Texas. He has extensive experience as a flow measurement engineer, in pipeline design and flow modeling. He held a lead technical capacity in designing and economic optimization of the $350 million, 500-kilometer Magdalena Valley oil pipeline in Colombia, and in Norway on a feasibility study with StatOil for a pipeline from the North Sea into northern Europe. As Project Manager, he managed facility installations and the development and implementation of modular SCADA system installed on 240 sites. He was one of the first Cost Engineers named by the company.

Mr. Hayes is a member of the Houston Society of Financial Analysts (HSFA) and an associate member of the Association of Investment Management and Research (AIMR). He is a registered Professional Engineer in Texas. His education includes a Masters in Business Administration from the University of Houston and a Bachelor of Science in Mechanical Engineering from Memphis State University.
